Structure

Legal entity and tax structure.

MajorWave operates a Delaware-anchored master-feeder fund architecture designed to accommodate U.S. taxable, U.S. tax-exempt, and non-U.S. limited partners. A Delaware general partner and Delaware limited partnership serve as the primary investment vehicle for each fund, with parallel Cayman feeder structures where warranted by the composition of the LP base. Blocker corporations are used where required to preserve UBTI and ECI protections for U.S. tax-exempt and non-U.S. investors.
